PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THESE INCLUDE LIMITATIONS ON LIABILITY AND A DISCLAIMER OF ALL WARRANTIES.

The following terms constitute a legal agreement between you and Qampanion ("Qampanion," "we," "us," or "our"). Your use of our services and platforms, including the Qampanion macOS application, website (qampanion.com), documentation, and related tools (collectively, the "Services"), is subject to these Terms of Service (these "Terms"). By downloading, installing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and to comply with all applicable laws and regulations.

Qampanion is a macOS application designed for creating and running visual automated tests for iOS and Android apps using local simulators and emulators, without requiring advanced coding or cloud dependencies.

License Grant

Currently, Qampanion is provided free of charge and without a formal license agreement for evaluation and personal use. Subject to these Terms, we grant you a limited, personal, non-exclusive, revocable license to download, install, and use the Services on your compatible macOS device (macOS 15 or later) for your own non-commercial testing purposes.

In the future, Qampanion will transition to a subscription-based model, which may include paid tiers for advanced features, commercial use, or additional support. Upon this transition, use of the Services will require a valid subscription, and these Terms will be updated accordingly. We will provide notice of such changes via the website and in-app notifications. Continued use after the transition will require acceptance of the new paid terms.

You may not sublicense, sell, rent, lease, or otherwise transfer the Services or any rights granted herein.

Ownership and Intellectual Property

Qampanion owns all rights, titles, and interests in and to the Services, including all intellectual property rights. This includes our software, user interfaces, graphics, designs, computer code, documentation, test automation algorithms, and all other elements of the Services ("Qampanion Content"), excluding any content you create or input.

You may not:

Modify, reproduce, distribute, create derivative works, decompile, reverse engineer, disassemble, or otherwise exploit the Services without our explicit written permission.
Use the Services to develop competing products or services.
Remove or alter any copyright, trademark, or proprietary notices in the Services.

Your Content and Responsibilities

You retain all rights to any content, test cases, steps, actions, screenshots, app bundles, or data you create, import, or process using the Services ("Your Content"). You are solely responsible for Your Content and must ensure you have all necessary rights, licenses, and permissions to use and test the apps and data involved. You represent and warrant that Your Content does not infringe third-party rights and complies with applicable laws.

By using the Services, you grant us a limited, non-exclusive, royalty-free license to access and process Your Content solely as necessary to provide the Services (e.g., running tests locally on your device). No data is transmitted to us without your explicit consent (e.g., for support purposes).

You are responsible for:

Maintaining the security of your device and any backups of Your Content.
Complying with all applicable laws, including export controls and data protection regulations.
Not using the Services for illegal, harmful, or unauthorized purposes, such as testing malware or violating privacy laws.

Fees and Payment (Future Subscription Model)

Currently, the Services are provided free of charge. However, we reserve the right to introduce a subscription-based model in the future, with fees for access, premium features, or commercial licenses. If implemented:

You agree to our then-current pricing and payment terms, which will be displayed on qampanion.com.
Subscriptions may auto-renew unless canceled, and fees are non-refundable except as required by law.
We may modify fees with reasonable notice; continued use constitutes acceptance.
Non-payment may result in suspension or termination of access.

Modifications, Suspension, and Termination

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice, for maintenance, improvements, or other reasons. We will strive to provide advance notice where practicable.

We may restrict, suspend, or terminate your access to the Services at our discretion, including for:

Violation of these Terms.
Misuse of the Services (e.g., unauthorized distribution).
As required by law or to address security risks.

Upon termination, your right to use the Services ends immediately, but Your Content will remain on your local device. Sections of these Terms that by their nature should survive termination (e.g., ownership, disclaimers) will do so.

Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we handle any limited data collected (e.g., anonymized analytics).

Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR COMPATIBLE WITH ALL DEVICES OR APPS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QAMPANION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING LOSS OF DATA, PROFITS, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED $100 (OR THE EQUIVALENT IN YOUR CURRENCY).

These limitations apply regardless of the legal theory (contract, tort, strict liability, etc.). Some jurisdictions do not allow certain disclaimers or limitations, so applicable law may limit their effect.

Qampanion is not responsible for any issues arising from third-party tools (e.g., Xcode, Android Studio) or your tested apps.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services will be resolved exclusively in the courts of Cyprus.

You agree to attempt informal resolution of disputes before initiating legal action. We may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property rights.

Changes to These Terms

We may update these Terms at any time to reflect changes in our Services, legal requirements, or the transition to a paid model. We will notify you of material changes via email (if provided), the website, or in-app notices. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
